Welcome to Brynto.
These Terms of Service (“Terms”) govern your access to and use of the Brynto mobile application, the Brynto website located at brynto.co, and any related services, features, content, or functionality provided by Brynto (collectively, the “Services”).
Brynto is operated by OrionEdge Technologies LLC (“Brynto,” “we,” “us,” or “our”).
By accessing or using Brynto, creating an account, or otherwise using the Services, you agree to these Terms. If you do not agree, you should not use Brynto.
1. About Brynto
Brynto is a business-to-business wholesale sourcing platform designed to help businesses discover suppliers, explore wholesale products, request quotes, compare supplier responses, and communicate with suppliers.
Brynto currently focuses primarily on businesses and suppliers serving New York City, including Manhattan, Brooklyn, Queens, the Bronx, and Staten Island.
Brynto provides technology that helps connect buyers and suppliers. Unless expressly stated otherwise, Brynto is not the buyer, seller, distributor, wholesaler, manufacturer, or merchant of record for products displayed or discussed through the Services.
2. Brynto Does Not Currently Process Marketplace Transactions
Brynto currently does not process payments between buyers and suppliers.
Brynto does not currently:
- collect payment for wholesale goods;
- hold buyer funds;
- send funds to suppliers;
- process refunds for wholesale purchases;
- guarantee supplier performance;
- arrange shipping or delivery;
- take ownership of products; or
- complete transactions on behalf of buyers or suppliers.
If a buyer and supplier decide to conduct business after connecting through Brynto, they are responsible for making their own arrangements regarding payment, delivery, contracts, returns, refunds, taxes, product quality, and other transaction terms.
Brynto may introduce additional marketplace functionality in the future. If that happens, these Terms may be updated.
3. Eligibility
- You must be at least 18 years old and legally able to enter into a binding agreement to use Brynto.
- If you use Brynto on behalf of a business or organization, you represent that you have authority to act on its behalf and accept these Terms.
- Brynto is intended primarily for legitimate commercial and business use.
4. User Accounts
- Some Brynto features require an account.
- You agree to provide accurate and current information and to keep your account information reasonably up to date.
- You are responsible for protecting your login credentials and for activity occurring through your account.
- You may not create an account using false information, impersonate another person or business, or use another user’s account without authorization.
- We may suspend or terminate accounts that violate these Terms or create security, fraud, legal, or marketplace-integrity concerns.
5. Buyer Accounts
Businesses using Brynto as buyers may be able to:
- discover suppliers;
- browse wholesale products;
- search by category;
- submit quote requests;
- compare responses;
- save suppliers or products;
- contact suppliers; and
- use other sourcing tools provided by Brynto.
Buyers are responsible for independently evaluating suppliers and determining whether products, prices, terms, availability, delivery arrangements, and other information meet their needs.
Brynto does not guarantee that a supplier will respond to a quote request or that any particular price, product, or supplier will be available.
6. Supplier Accounts
Suppliers may be able to:
- create a supplier profile;
- provide company information;
- list products or categories;
- receive quote requests;
- respond to buyers;
- provide pricing information; and
- communicate with potential customers.
Suppliers are responsible for the accuracy and legality of information they provide.
Suppliers must not knowingly provide false or misleading information regarding:
- products;
- pricing;
- inventory;
- company identity;
- business credentials;
- delivery availability;
- product condition; or
- their ability to supply requested goods.
7. Supplier and Business Verification
Brynto may introduce or provide business verification features.
Any verification indicator provided by Brynto should not be interpreted as a guarantee, endorsement, warranty, or certification of a supplier’s products, reliability, legality, financial condition, or performance.
Buyers remain responsible for performing their own business due diligence.
8. Product Information
Product information displayed through Brynto may be supplied by independent suppliers.
Brynto does not guarantee that product information is:
- accurate;
- complete;
- current;
- available;
- error-free; or
- appropriate for a particular business.
Prices and availability may change.
Images may be illustrative.
Users should confirm important product information directly with the supplier before making purchasing decisions.
9. Quote Requests
- Brynto may allow buyers to request pricing or other information from suppliers.
- Submitting a quote request does not obligate a buyer to purchase anything.
- Responding to a quote request does not automatically create a contract between the supplier and buyer.
- Any final agreement is between the buyer and supplier unless Brynto explicitly introduces a different transaction model in the future.
10. Communications Between Users
Brynto may provide tools that allow buyers and suppliers to communicate.
Users are responsible for the information they share with one another.
You may not use Brynto communications to:
- harass or threaten users;
- send spam;
- conduct fraud;
- impersonate another person or company;
- distribute malware;
- promote illegal products or activities; or
- collect personal information for unrelated purposes.
11. Subscription Services
Brynto may offer free functionality as well as optional paid subscriptions providing additional features or access.
For iOS users, paid subscriptions may be offered through Apple’s App Store in-app purchase system.
Auto-renewable subscriptions generally renew automatically at the end of each subscription period unless canceled.
Before purchasing, users will be shown applicable information such as:
- subscription name;
- subscription duration;
- price; and
- available features.
Subscription availability, pricing, and benefits may change over time.
12. Apple Subscription Billing
Where a Brynto subscription is purchased through Apple:
- payment is charged through the user’s Apple ID;
- Apple manages billing;
- Apple may automatically renew the subscription unless canceled;
- users manage or cancel subscriptions through their Apple account or App Store subscription settings; and
- Apple’s applicable payment and subscription terms also apply.
Brynto does not receive or store a user’s complete Apple payment-card information.
Apple requires developers to provide accurate subscription and privacy information for apps using auto-renewable subscriptions.
13. Subscription Cancellation
Users may cancel an Apple subscription through Apple’s subscription-management tools.
Cancellation generally stops future renewal but does not necessarily terminate access immediately. Access may continue until the end of the already-paid subscription period, subject to Apple’s rules.
Deleting the Brynto app does not necessarily cancel an Apple subscription.
14. Subscription Refunds
Payments made through Apple’s App Store are subject to Apple’s applicable refund policies and processes.
Brynto generally cannot directly issue refunds for transactions processed by Apple unless Apple provides a mechanism allowing us to do so.
15. Free Trials and Promotional Offers
Brynto may offer free trials, discounted introductory pricing, or promotional subscription offers.
The conditions of a particular offer will be disclosed when the offer is presented.
Unless canceled before renewal, an eligible trial or introductory offer may convert into a paid auto-renewable subscription according to the terms shown during purchase.
16. Prohibited Conduct
You may not use Brynto to:
- violate applicable law;
- engage in fraud;
- impersonate another person or company;
- list or promote illegal goods;
- infringe intellectual-property rights;
- distribute malicious software;
- attempt unauthorized access to systems;
- interfere with Brynto’s operation;
- scrape or systematically extract data without authorization;
- submit fake supplier information;
- manipulate marketplace activity;
- create fraudulent quote requests;
- abuse other users;
- circumvent access controls; or
- misuse another user’s information.
17. User Content
Users may submit content including:
- profile information;
- company information;
- product information;
- photographs;
- quote requests;
- quote responses;
- messages;
- feedback; and
- other marketplace content.
You retain ownership of content you own.
By submitting content, you grant Brynto a non-exclusive, worldwide, royalty-free license to host, store, display, reproduce, format, and use the content as reasonably necessary to operate and improve the Services.
You represent that you have the rights necessary to provide the content.
18. Content Moderation
Brynto may remove content or restrict accounts that violate these Terms, applicable law, or marketplace rules.
Apple requires apps with user-generated content to implement appropriate protections and moderation mechanisms.
19. Third-Party Services
Brynto relies on third-party technology providers to operate parts of the Services.
These may include services for:
- cloud hosting;
- database storage;
- authentication;
- notifications;
- analytics;
- website hosting;
- customer support; and
- other infrastructure.
Use of some third-party services may be governed by their own terms or privacy policies.
20. Intellectual Property
Brynto, its software, branding, designs, interfaces, graphics, logos, text, and other proprietary materials are owned by or licensed to OrionEdge Technologies LLC, except for user-provided or third-party content.
You may not copy, reproduce, modify, distribute, or commercially exploit Brynto materials without authorization.
21. Availability
We do not guarantee that Brynto will always be available or uninterrupted.
Features may occasionally be unavailable because of:
- maintenance;
- updates;
- outages;
- network failures;
- security incidents;
- third-party service issues; or
- circumstances outside our control.
22. Changes to the Service
Brynto may add, modify, suspend, or discontinue functionality.
This includes features relating to suppliers, quotes, subscriptions, communication, marketplace tools, and other functionality.
23. Account Suspension or Termination
Brynto may restrict, suspend, or terminate accounts when reasonably necessary, including for:
- violations of these Terms;
- fraudulent behavior;
- abuse;
- unlawful activity;
- security risks; or
- repeated marketplace misconduct.
24. No Guarantee of Business Results
Brynto is intended to make supplier discovery and sourcing easier.
Brynto does not guarantee:
- lower prices;
- successful supplier relationships;
- supplier responses;
- product availability;
- revenue growth;
- business savings;
- successful negotiations; or
- any particular commercial outcome.
25. Disclaimer of Warranties
To the maximum extent permitted by applicable law, Brynto is provided “as is” and “as available.”
We do not guarantee the accuracy, reliability, availability, quality, legality, or suitability of suppliers, products, quotes, content, or other information provided by users.
26. Limitation of Liability
To the maximum extent permitted by applicable law, OrionEdge Technologies LLC and Brynto will not be liable for indirect, incidental, special, consequential, exemplary, or punitive damages resulting from:
- use of Brynto;
- inability to access Brynto;
- supplier conduct;
- buyer conduct;
- information supplied by users;
- failed business relationships;
- lost profits;
- business interruption; or
- unauthorized account access.
Nothing in these Terms limits rights that cannot legally be limited.
27. Transactions Outside Brynto
Any purchase, payment, delivery, contract, return, refund, or other transaction independently arranged between a buyer and supplier is solely between those parties.
Brynto is not responsible for disputes arising from those transactions.
28. Governing Law
These Terms are governed by the laws of the State of New York, subject to applicable federal law and any rights that cannot legally be waived.
29. Changes to These Terms
We may update these Terms as Brynto develops.
The latest version will display an updated “Last Updated” date.
Where appropriate, we may provide additional notice of material changes.
